...Walmart LAW/531 November 7, 2013 Thane Messinger Walmart Walmart opened its doors in 1962 based on Sam Walton’s strategy of creating the lowest prices anytime, anywhere. By 1967, the Walton family was running 24 stores bringing in $12.7 million in sales. By 2012, the company served more than 200 million customers each week, employed 2.2 million associates worldwide, in more than 10,000 stores in 27 countries. After waiting years to open a “Superstore” in India, ambitious plans to expand in the country have seized to continue. India, the world’s largest retailer, has a difficult time with the regulations of the country as well as finding a foreign chain to help invest in the country’s $400 billion retail sector (Pasricha, 2013). Walmart has said it would end its joint venture with Bharti Enterprise Limited amid continued difficulties navigating regulations on foreign investments. To continue the organizational success Walmart has achieved, the organization will need to continue to research several key factors. These factors include: India’s restrictive rules on foreign firm operations, the target market blunder, Walmart’s past efforts to penetrate the retail industry in India, and any challenges encountered in partnership with Bharti. Walmart ceases operations in India because of failed partnership and restrictive government regulations on foreign investments. Walmart’s Ethics Walmart set its business foundation on values and ethics that leads the company.......

...Litigation and ADR LAW/531 Litigation and ADR Litigation is the bringing, maintaining, and defense of a lawsuit (Cheeseman, 2013). The two forms of litigation are traditional and nontraditional. Before a trial ensues the pretrial process must take its course and is divided into pleadings, discovery, dismissals, pretrial judgments, and settlement conference. These events are followed by the trial proceedings and appeals, if applicable. Nontraditional litigation includes alternative dispute resolution (ADR). The most common form of ADR being arbitration (Cheeseman, 2013). Other forms include negotiation and mediation. It is up to management to determine which form of litigation is appropriate for the organization. A pleading is the paperwork that is filed with the court to initiate and respond to a lawsuit (Cheeseman, 2013). The pleading process involves a few steps, including: the complaints, the answer, the cross-complaint, and the reply. Every lawsuit begins with a complaint. After the complaint is filed with the court an answer must then be filed by the defendant. In some cases, a defendant may file a cross-complaint, or countersuit against the plaintiff. The plaintiff must then file a reply. During the discovery period, both sides go on a fact-finding mission to state and/or defend their cases. Once these steps are complete, the trial is ready to be heard. If the trial requires a jury, voir dire takes place, otherwise known as “jury selection”. At the onset of the......

...The Legal System and ADR Analysis Shakira Schneider Memorandum TO: Law Manager of Business Disputes FROM: Member of Court Systems DATE: 08/02/2014 SUBJECT: “Review Typical State Court System” Although, we have discussed and resolved several cases related to business but nowadays, I am assigned with the case that has its involvement in the personal life of clients. Actually, my client David wants a divorce from his wife Anna; the case is issued in court system and we have just initiated it court proceedings. David works as a CPA spokesperson and legal representative whereas her wife Anna is also a working as a CPA. The couple married twenty years before but now personal problems leads them to file divorce. This was the family side of case, now the problem is business related because David was recently assigned as a business partner in SWM. He possesses five percent shares in it that equals to total value of $2.5 million. Also, he had to pay debt obligation of one hundred and fifty thousand dollars. The partnership accord of SWM clearly indicates appropriate amount of interest that can be repurchased for undesirable grounds. Adverse reasons include divorce fillings and it cost $0.60. Besides that, this lawful contract has restricted the deliberate disclosures of financial records covering returns from annual duties and remuneration of other partners. If the financial assessment is calculated in this way than interest on partnership......

...Week 3 Individual Assignment Luis A. Campudoni LAW/531 Business Law Prof. Marlene Wilhite February 19, 2010 Legal Issues in Contract Fulfillment Agreements are a hot and critical topic in business agreements today. How do entities engaging in business contracts conclude in a consensus of the clauses, terms, and expectations of the project seem to fail at times due to expected and / or unexpected factors. This seems to be the case of the business contract between Span Systems and Citizen-Schwarz AG (C-S) where performance and deadline problems have emerged and is presenting a risk to the project status. Due to these factors C-S is now considering closing the contract with Span Systems terminating the project as it is. This request presents certain legal aspects that need to be considered before proceeding to minimize losses from both parties. In order to determine the proper path to follow I have provided a summarized analysis on the identification of problems, actions to avoid risks, legal principles in favor, and the recommendation of a final solution below. Situation: a) C-S is requesting Span Systems to conclude operations immediately due to poor quality on delivered project results so far and because Span Systems has not been able to stay on agreed schedule. b) Span Systems states that the approval and review process from C-S for the project was to extent because of an internal change in the project management structure from C-S’s part. As a result of......

...Learning Team Reflection: Week 3 IRAC Brief Dipesh Mistry, Hala Alnajjar, Chad Salcido LAW 531 August 23, 2015 Jonathan McGovern Apple vs Samsung Patent Case – Intellectual and Digital Property Dispute Intellectual property consists of patent, copyrights and ideas of the mind. Methods of dealing with disputes arising from theft of intellectual property include the uniform trade secrets act, US patent and trademark office and no electronic theft act. Personal property is any tangible property that is attached to the land or building owned or movable items like furniture or a painting. Case Apple vs. Samsung is an intellectual property dispute due to the seven issuing patents that Apple owns the rights to. On April 15, 2011, Apple issued an official complaint stating: "Instead of pursuing independent product development, Samsung has chosen to slavishly copy Apple's innovative technology, distinctive user interfaces, and elegant and distinctive product and packaging design, in violation of Apple's valuable intellectual property rights" (Elmer-DeWitt, 2011). Issue The dispute is if Apple's patent case against Samsung is valid under US patent law. Currently, patents are awarded to the 'first to invent' rather than 'first to file' (Jaffe, Adam and Lerner, Josh. p. 38-43). This creates issues with the companies contesting that they created designs prior to alleged infringing devices being released. Samsung claims that the patents are abstract and non......

...Legal System and Legal Forms of Business In business there are many different things a business owner must know before and during the operation of their business many of these things are centered on guidelines, rules and laws. The legal system is a very important part of the operation of a business if the legal aspects are not understood by the owner the business may fall into very serious potentially detrimental problems. Traditional litigation refers to the court process where both parties use the court system and procedures to resolve their dispute. In traditional litigations both parties retain attorneys who represent them regarding negotiations and court hearings, once attorneys are retained both parties communicate primarily through their attorneys. This entire process begins when one party places a complaint also known as a suit against the other party either person or the business. Once the complaint and answer have been filed a court monitored process known as discovery is conducted. The discovery rules are designed to help sort out the material issues in dispute prior to trial this is so that a trial is conducted in a proper manner and that there are no undue surprises and posturing( Barron 2011. Discovery procedures are conducted under court supervision and allow both parties to voluntarily exchange documents relevant to the suit as well as serve written requests for information on the opposing party. Once the discovery or “pretrial” phase is done a trial......
